1. About Vaultzi

Vaultzi is a personal organisation application developed and operated by Vaultzi Ltd ("we", "us", "our"), a company registered in England and Wales. Vaultzi allows users to save, store and organise links, articles, documents, screenshots, emails and other digital content, which is automatically categorised using artificial intelligence.

These Terms of Use ("Terms") govern your use of the Vaultzi mobile application and website at vaultzi.app (collectively, the "Service"). By downloading, installing, accessing or using Vaultzi, you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Service.

2. Eligibility

You must be at least 13 years of age to use Vaultzi. By using the Service, you confirm that you meet this requirement. If you are under 18, you confirm that you have obtained consent from a parent or legal guardian.

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Vaultzi is intended for personal, non-commercial use unless you have purchased a business or professional plan. We reserve the right to refuse service to anyone for any reason at our sole discretion.

3. Subscriptions & Pricing

Vaultzi offers the following subscription options. All prices are inclusive of applicable taxes and are charged in British pounds sterling (GBP).

Subscriptions are processed through Apple's App Store. Payment is charged to your Apple ID account at confirmation of purchase. We reserve the right to change our pricing with reasonable notice. Price changes will not affect existing active subscriptions until the next renewal date.

4. Auto-Renewal & Cancellation

Monthly and Annual subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.

Your Apple ID account will be charged within 24 hours prior to the end of each billing period at the same price as your current subscription.

How to cancel

• Open the Settings app on your iPhone or iPad
• Tap your name at the top to access your Apple ID
• Tap Subscriptions
• Select Vaultzi from the list
• Tap Cancel Subscription

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. We do not provide refunds for unused portions of a subscription period, except where required by applicable law.

Lifetime plan purchases are non-refundable once access has been activated, except as required by applicable consumer law.

5. Free Plan & Free Trial

The Free Plan provides 30 saves per month at no charge. Save allowances reset on the first day of each calendar month. Saves that are not used in a given month do not carry over to the following month.

We may from time to time offer a free trial of a paid subscription tier. Any unused portion of a free trial period will be forfeited upon purchase of a paid subscription. Following the trial period, your subscription will automatically renew at the applicable price unless cancelled before the trial ends.

We reserve the right to modify, suspend or discontinue free trial offers at any time without notice.

6. Your Content

You retain full ownership of all content you save to Vaultzi, including links, notes, documents, images and other materials ("Your Content"). By using the Service, you grant Vaultzi Ltd a limited, non-exclusive, worldwide licence to store, process, display and transmit Your Content solely for the purpose of providing and improving the Service to you.

This licence does not give us the right to sell Your Content, share it with third parties for marketing purposes, or use it for any purpose other than operating the Service.

You are responsible for ensuring that Your Content does not infringe any third-party intellectual property rights, violate any applicable laws or regulations, or contain any material that is harmful, offensive or illegal.

You may delete Your Content at any time via the app. Deleted items are held in the Cheerio Bin for up to 7 days before permanent removal. Following permanent deletion, we will not retain copies of Your Content beyond the period required for backup and technical integrity purposes, as described in our Privacy Policy.

7. Intellectual Property

All intellectual property rights in the Vaultzi application, website, design, software, branding, logo and underlying technology are owned by or licensed to Vaultzi Ltd. Nothing in these Terms grants you any rights to use our intellectual property other than as strictly necessary to use the Service.

You may not copy, modify, distribute, reverse engineer, decompile, disassemble or otherwise attempt to extract the source code of the Vaultzi application.

The name "Vaultzi", the Vaultzi logo and associated branding are trademarks of Vaultzi Ltd. You may not use these marks without our prior written consent.

8. Acceptable Use

You agree to use Vaultzi only for lawful purposes and in a manner consistent with these Terms. You must not use the Service to:

• Save, store or distribute illegal, harmful, obscene or offensive content
• Infringe any intellectual property rights of third parties
• Attempt to gain unauthorised access to any part of our systems or another user's account
• Interfere with or disrupt the operation of the Service
• Use automated tools, bots or scrapers to extract data from Vaultzi
• Use the Service for any commercial purpose without our written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Transmit spam, malware or other harmful code
• Violate any applicable laws or regulations

We reserve the right to investigate suspected violations and to suspend or permanently terminate accounts that breach these Terms, without prior notice and without liability.

9. Third Party Links & Services

The Vaultzi Service enables users to save links to third-party websites, applications and services. We do not control, endorse or take responsibility for any third-party content, products, services or websites that may be accessed via links saved in or displayed through the Service.

Your use of any third-party website or service is subject to that party's own terms and conditions and privacy policy. We encourage you to read these before making any purchases or sharing any personal information with third parties.

Commercial relationships and affiliate links

Vaultzi Ltd participates in affiliate marketing programmes. This means that when users access certain third-party retailer websites or services via links within the Vaultzi application or website, Vaultzi Ltd may receive a commission or referral fee from the applicable retailer or affiliate network if a purchase is subsequently made. This arrangement operates through industry-standard affiliate networks and does not affect the price you pay as a consumer.

Affiliate arrangements do not influence how content is categorised, surfaced or presented within the Service. Users save links of their own choosing, and the AI categorisation applied to saved content operates independently of any commercial arrangements we may have with third-party retailers.

We are a participant in various affiliate programmes including, but not limited to, programmes operated by Skimlinks, Awin and Amazon Associates. A full list of current affiliate relationships is available on request by emailing hello@vaultzi.app.

Third party integrations

Vaultzi may offer optional integrations with third-party services (such as calendar applications, accounting software or social platforms). These integrations are provided for your convenience and are governed by the respective third party's own terms. We are not responsible for the availability, accuracy or conduct of any third-party integration.

10. AI Processing

Vaultzi uses artificial intelligence to automatically categorise and summarise the content you save. This processing is performed using third-party AI services, including Claude (operated by Anthropic, Inc.). By using the Service, you acknowledge and consent to your saved content being processed by such AI systems for the purpose of providing the categorisation and summarisation features.

AI-generated categorisations and summaries are produced automatically and may not always be accurate. You can correct any categorisation errors within the app. Vaultzi Ltd does not guarantee the accuracy, completeness or suitability of any AI-generated output.

We do not use your saved content to train AI models operated by us or third parties beyond what is necessary to provide and improve the Service to you.

11. Privacy & Data

Your privacy is important to us. Our Privacy Policy sets out in full how we collect, use, store and protect your personal data in connection with the Service. It also describes your rights in relation to your data under applicable data protection law, including the UK GDPR.

By using Vaultzi, you confirm that you have read and understood our Privacy Policy. We recommend reviewing it periodically as it may be updated from time to time.

We will not sell your personal data to third parties. Any data shared with third-party service providers (such as AI processors, cloud storage providers or payment processors) is governed by appropriate data processing agreements and used only to provide the Service.

12. Availability & Changes

We aim to keep the Service available at all times but we cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, technical issues or circumstances beyond our control.

We reserve the right to modify, update, suspend or discontinue any part of the Service at any time. Where we make material changes that affect your use of the Service or these Terms, we will provide reasonable prior notice by email or via in-app notification.

Continued use of the Service following any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and cancel any active subscription.

13. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Vaultzi Ltd disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Vaultzi Ltd shall not be liable for any loss or damage arising from:

• Temporary unavailability or interruption of the Service
• Loss, corruption or deletion of saved content
• Inaccuracies in AI-generated categorisations or summaries
• Actions or content of third-party websites accessed via saved links
• Purchases made through third-party retailers accessed via the Service
• Unauthorised access to your account resulting from your own failure to maintain account security

Our total liability to you in connection with the Service, under any cause of action, shall not exceed the greater of (a) the total amount you have paid to Vaultzi Ltd in the 12 months preceding the claim, or (b) £50.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

14. Termination

You may stop using the Service and delete your account at any time. Instructions for account deletion are available via the app settings or by contacting hello@vaultzi.app.

We may suspend or terminate your access to the Service immediately and without prior notice if we believe you have breached these Terms, engaged in fraudulent or harmful conduct, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will delete or anonymise your data in accordance with our Privacy Policy and applicable data retention obligations. Termination does not entitle you to a refund of any subscription fees paid, except where required by law.

15. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

You and Vaultzi Ltd agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising from these Terms or your use of the Service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
